DEFINITIONS
a) The term "Company" shall mean PCi (Process System Solutions) Ltd.
b) The term "Customer" shall mean any individual, company or corporation who shall purchase goods from the Company.
CONDITIONS
The conditions herein are deemed to apply to any and all orders, contracts, tenders and quotations for the supply and sale of goods or services by the Company. The conditions supersede any previous trading conditions and will continue to set forth the entire agreement between the parties unless agreed otherwise in writing with the Customer.
QUOTATIONS
Quotations are made on the basis of the availablity and price of materials and labour prevailing at the date thereof and are open for acceptance for a period of thirty days thereafter. Should any quotation not be accepted within this period, the quotation may be subject to alteration to take into account any increase in costs. Additionally, a quotation may be withdrawn at any time during this period prior its the acceptance in writing, for whatever reason the company deems fit.
PRICING
Orders placed shall be charged at prices current at the time of delivery and in accordance with any accepted quotation.
In the event of any alteration being required by the Customer with regard to design specifications, qualities or quantities, the Company shall be entitled to make an adjustment of the contract price corresponding to such alteration.
VALUE ADDED TAX
All prices quoted are exclusive of UK value added tax, currently at 17.5%, which will be added to the amount. This applies to UK customers only.
PAYMENT
Where no other terms are agreed in writing, all orders should be paid for on a pro-forma basis at the time of the order. Approved account holders invoices are payable within 30 days of the date of the invoice. In the event that payment is not made within the stipulated time, the Company shall have the right to charge interest at the rate of 5% above the base rate of HSBC Plc.
ACCOUNTS
Credit accounts can only be opened at the Company's discretion and are subject to satisfactory trade references being provided. The company reserves the right to set a maximum amount of credit allowable upon each account and to withdraw credit facilities without explanation.
DESCRIPTION & QUALITY
Illustrations, descriptions, measurements and technical data in any of the Company's catalogues, price lists and statements, written or oral, provided by any of the Company's representatives are furnished to give Customers an approximate picture and description only and do not form the basis of any contractual liability.
Designs of goods are subject to alteration without notice. All quotations given and sales made are upon the condition that although goods supplied are of sound commercial quality, the Company can accept no liability as to their suitability for any purpose other than that specified in writing by the customer, at or prior to, the time of sale. No representations or warranties are made concerning the suitability of any instrument for a particular use and the company shall not be held liable for any damages occurring as a consequence of the failure of an instrument to be suitable for a particular use.
The Company reserves the right to withdraw, or amend the properties of, any product at any time without prior notice.
Any item offered from stock is subject to the goods remaining unsold at the time of receipt of a verbal or written order.
GUARANTEES & WARRANTIES
The Company undertakes at its option to replace or refund the purchase price of any goods sold or supplied in the following circumstances only:
- where the goods do not correspond to any written description applied to them.
- where the goods have been proven to be unfit for a particular purpose which has been expressed in writing to the company.
- where the goods prove to be defective and unfit for their usual purpose within 12 months of delivery.
Liability under the preceding shall be accepted by the Customer in lieu of any warranty or guarantee whether expressed or implied in law.
The Company shall not be liable for any special, incidental, or consequential damages, or any damage to plant, personnel, equipment or products, directly or indirectly resulting from the use or misuse of any product.
The Company's liability under this warranty or otherwise with respect to products of their use (including liability for negligence or otherwise in tort) is limited exclusively to the remedies provided herein and no other right or remedy shall be available to any person.
OWNERSHIP
The Company and the Customer expressly agree that, until the Customer has paid in full for the goods supplied, the goods comprised in the contract shall remain the property of the Company and the Company may recover the goods at any time if the amount outstanding from the Customer to the Company, in respect of the goods supplied, has not been paid in full and, for that purpose, the Customer or his agent may enter upon any property of the Customer upon which the goods are situated, to recover the goods.
DELIVERY
Any time or date for delivery stated by the Company constitutes an estimate only and the Company shall not accept liability whatsoever for any loss of business or profits incurred by the Customer arising indirectly or directly from delay or failure of delivery however caused.
CANCELLATION OF ORDERS
The Company reserves the right to charge the Customer for all costs incurred on cancelled orders.
EXAMINATION OF GOODS
Goods should be examined immediately on delivery. The company will replace any goods damaged or lost in transit to the place of delivery provided such damage is reported to the Company within 3 working days of the delivery. No other liability shall be accepted by the Company in respect of any such damage or loss.
RETURNS
Orders may only be returned with the Company's written consent. All goods must be unused and in their original packing. Carriage for all returns is payable by the Customer until or unless it can be demonstrated that the Company is responsible for any defect or other damage.
CARRIAGE
Carriage charges will be invoiced to the Customer at rates which shall be determined by the Company unless specifically excluded in writing.
CERTIFICATION
Any certification required by the customer must bespecified on the official order and may be subject to additional charges. The Company reserves the right to charge for the supply of any retrospective certificates.
LAW
The contract between the Company and the Customer for the supply of goods or services, which includes these conditions, shall be governed and shall take effect in accordance with the laws of England.
